According to media reports, the 15 largest investors in this offering hold approximately 70% of the issued shares, indicating that large institutional investors are the main driving force behind this fundraising. The offering was priced at $625 per share, representing a 2.7% discount to last Friday's closing price prior to the issuance announcement. However, on Tuesday, Meta closed down 1.64% at $620, already falling below the offering price.

Meta Platforms’ record-breaking equity financing plan has received an enthusiastic response from institutional investors, highlighting the capital market’s strong confidence in its artificial intelligence strategy.

According to Bloomberg, citing sources familiar with the matter, Meta’s expanded $25 billion common stock offering received subscription demand five times its supply, with more than half of the shares allocated to long-term investors and existing shareholders.

The offering was priced at $625 per share, a 2.7% discount to the previous Friday’s closing price prior to the announcement, but the discounted offering has still put short-term pressure on the stock. On Tuesday, Meta closed down 1.64% at $620 per share, already falling below the offering price.

This $25 billion common stock offering is a part of Meta’s $98 billion total equity financing plan. If fully completed, it would rank among the largest equity financing initiatives in history. The company has made it clear that all the funds raised will be devoted to building AI infrastructure and developing personal superintelligence technology.

Institutional Investors Lead, Highly Concentrated Subscription Structure

According to people familiar with the situation, the top 15 allocations in this stock offering account for around 70% of the total issuance, indicating that large institutional investors are the main backers in this financing round.

More than half of the shares went to long-term investors and existing Meta shareholders, reflecting the market’s confidence in the company’s long-term strategy.

At the same time, the $12.5 billion mandatory convertible preferred stock offering attracted multi-fold demand over the supply, showing that the market remains highly interested in Meta’s various equity financing instruments. The transaction is underwritten by Morgan Stanley and Goldman Sachs.

Three-Pronged Approach: Financing Structure Covers Multiple Instruments

According to Meta’s publicly announced plan, the $98 billion financing effort covers three segments: $25 billion common stock offering, $12.5 billion mandatory convertible preferred stock offering, and an anticipated at-the-market (ATM) offering program.

Mandatory convertible preferred stock is typically converted into common stock within a specified time frame, enabling companies to raise capital now while deferring part of the dilution effect to the future.

This financing mainly relies on equity instruments rather than debt, providing Meta with ample funds to support long-term investments, but also meaning that existing shareholders will face a certain degree of share dilution.

Accelerating AI Product Rollout: Muse Series Targets Top Rivals

Meta states that the new funds raised will focus on AI infrastructure and personal superintelligence fields.

On the product side, the company has already launched its personal AI assistant called Muse and the AI model Muse Wonder. According to Meta management, Muse Wonder’s performance on tasks like programming is comparable to OpenAI’s ChatGPT and Anthropic’s Claude.

The vast scale of this financing reflects how the global tech giants’ capital competition around AI models, computing infrastructure, and intelligent assistants is entering a new stage.

For investors, whether Meta can turn this round of massive capital input into sustained revenue growth and improved profitability will be the key to measuring the long-term value of this financing.
