Seagate and Toshiba Compete to Acquire TDK’s Hard Disk Drive Head Business, Transaction May Reach Several Billions of Dollars

According to sources familiar with the matter, Toshiba began negotiations with TDK in the spring, after which Seagate made a higher offer during the summer. They noted that the value of this acquisition deal could reach up to several billions of dollars. The winning bidder will control a key segment in the supply chain that plays a crucial role in the competitive HDD market, which is currently dominated by three companies. TDK is presently the only independent manufacturer of HDD magnetic recording heads, supplying not only to both bidders but also to Western Digital (WDC.US).

On October 6, Option Care Health (OPCH.O) shares surged 23.2% in pre-market trading to $28.79 after the Financial Times reported on Monday that McKesson (MCK.N) and private equity firm CD&R are close to reaching a deal to acquire OPCH for over $5 billion (including debt). McKesson declined to comment, while CD&R and Option Care have not immediately responded to Reuters' request for comment on Monday. According to data from London Stock Exchange Group (LSEG), OPCH had a market value of about $3.5 billion as of the previous trading day’s close. Analysts at William Blair said the valuation is “on the low side” for Option Care, but “quite attractive” for McKesson and CD&R. “We believe the reported premium of more than 20% over Monday’s closing price is slightly disappointing for Option Care, and would not be surprised if one (or more) competing bids emerge,” the broker added. As of the previous trading day, OPCH shares have fallen 26.7% year-to-date.
