- 6% annual simple interest will accrue to maturity, subject to default provisions.
- US$175,000 repayment due by October 15, 2026; related default charges waived if paid and no subsequent default occurs.
- Fixed settlement of 3,567,000 common shares tied to a change-of-control transaction closing by March 1, 2027.
- Share settlement expires without a qualifying transaction; any unpaid balance remains outstanding under the Note.
