- Closing completed for 486,860 MEA shares, paid with 195,000 Tessera common shares; 65,000 shares need NYSE American listing clearance.
- Deal terms add an unsecured loan facility of up to USD 475,000 at 12% interest, maturing two years from closing.
- Tessera can convert principal and interest into MEA ordinary shares, capped below 19.999% ownership on a fully diluted basis.
- Option to buy Motomova’s remaining MEA stake remains exercisable through June 30, 2028, priced off 2027 audited results.
