Willdan to Acquire Mantis for $285 Million

04:47 PM EDT, 09/22/2026 (MT Newswires) -- Willdan (WLDN) said late Tuesday it entered an agreement with Mantis Innovation to acquire 100% of the outstanding equity of Mantis Intermediate for $285 million in cash. The transaction is expected to be completed in Q4, subject to the Hart-Scott-Rodino antitrust approval process and customary closing conditions, Willdan said. The deal is expected to boost Willdan's commercial market outreach in data centers, food and beverage, healthcare, among other industries, and to be accretive to its 2027 earnings, it said. Willdan said it will fund the transaction using proceeds from a new $250 million term loan facility, cash on hand, and borrowings under its existing credit facilities.
