Microsoft (MSFT.US) will continue to review shareholder proposals ahead of next year’s annual shareholders meeting, in response to a request from activist Paul Chesser, aiming to safeguard investor rights as the U.S. Securities and Exchange Commission (SEC) plans to tighten rules for shareholder proposals. Reportedly, Microsoft will retain its existing thresholds for shareholders to submit resolutions, even though the SEC is considering changes — critics argue such changes would marginalize individual investors, religious groups, and labor unions that have had a voice for decades. The agreement is valid for one year but may effectively counter SEC efforts to shift power from investors to executives. Chesser hopes Microsoft’s approach will set a governance example and ensure that retail investors maintain a voice. A Microsoft spokesperson stated that, as the SEC has announced a review of the shareholder proposal regulatory framework, the company has agreed to maintain the current eligibility thresholds for one year, providing a clear and predictable process for the next proxy season.
