- Termination triggered full vesting of participants’ deferred-compensation account balances; Jamie Bloom, Kevin Nihill were the only named executive officers in the plan.
- Distributions cannot be paid earlier than 12 months from the termination date, except amounts otherwise due under the plan.
- All payouts must be completed within 24 months of the termination date.
