- Initial purchasers get an option to buy up to an additional USD 325 million of notes within 13 days of issuance.
- Notes are senior unsecured obligations; interest paid semi-annually; conversion into cash, Class A shares, or a mix.
- Part of proceeds earmarked for capped call transactions; remaining funds for general corporate purposes, including debt repayment.
