- Votes are scheduled on issuing 12,930,617 common shares from conversion of Series A Non-Voting Convertible Preferred Stock tied to the Azora acquisition.
- Other items include approval to issue up to 1,177,782 shares from assumed Azora options, up to 11,780,948 shares from Initial Closing Pre-Funded Warrants.
- Stockholders will also vote on issuing up to 23,561,896 shares from Milestone Pre-Funded Warrants and Milestone Incentive Warrants, plus raising authorized common shares to 500,000,000.
- Additional proposals cover issuing up to 552,940 shares from Series F warrants, amending the 2017 equity plan, adopting 2026 equity plan and 2026 employee stock purchase plan.
