Restaurant Brands International to cancel 2,784,549 exchangeable units in cash repurchase
Reuters2026/08/10 21:00- Restaurant Brands International LP received an exchange notice from 3G Restaurant Brands Holdings to exchange 2,784,549 Class B exchangeable limited partnership units.
- The partnership plans to repurchase the units for cash using available cash on hand, cancelling the units and reducing fully diluted common shares by 2,784,549.
- The cash repurchase price will be based on the 20-day volume-weighted average price of RBI common shares on the NYSE in USD.
- On an as-adjusted basis, 3G Restaurant Brands Holdings would hold about 21% of RBI fully diluted common shares.
- The exchange date is scheduled for Aug. 31, 2026.
