- Sales can be made from time to time at prevailing market prices, prices tied to market levels, or negotiated prices.
- Mizuho will act as sales agent, earning up to a 3% commission on gross proceeds from shares sold.
- The program uses the company’s effective Form S-3 shelf registration filed Feb. 19, 2026, effective Feb. 27, 2026.
