- Shareholders will vote on a repurchase of 5,000,000 ordinary shares held by Harraden Circle funds for USD 52.45 million, priced at USD 10.49 each.
- The meeting will also consider approving the terms of the prepaid share forward agreement governing that repurchase.
- Additional votes cover broader authority for off-market and open-market buybacks of ordinary shares.
- A special resolution seeks to amend the articles to allow general meeting notices to be given via the company’s website.
