- At full acceptance, the offer implies a total value of EUR 11.63 million on a fully diluted basis; shareholder vote set for Sept. 2, 2026.
- Separately, it agreed to acquire 100% of Workgroup at an equity value of EUR 20 million, capped at EUR 25 million.
- Workgroup consideration includes EUR 7 million cash, EUR 1.01 million in new Metriks shares at EUR 4.5, EUR 10.89 million in convertible bonds.
- The group has completed the acquisition of Teuron for a provisional EUR 520,000 cash price, with additional consideration capped at EUR 1.6 million.
