Lantheus Holdings to Be Acquired for Initial $6.7 Billion -- Update

Lantheus Holdings agreed to be acquired by Curium, a fellow radiopharmaceutical company controlled by investment firm CapVest Partners, for an initial $6.7 billion.

Curium on Monday said it would pay $102.50 a share in cash for Lantheus, a 2.9% premium to Friday's closing price of $99.64 for the Bedford, Mass., company and 8.5% above Lantheus's closing price of $94.47 on May 21, before Bloomberg reported that Curium was circling the company.

The deal, slated to close in the first half of 2027, includes contingent value rights tied to Lantheus's commercial portfolio that are worth up to an additional $12 a share, bringing the total potential value to $114.50 a share, Curium said.

Shares of Lantheus were recently changing hands at $101.86, up 2.2%.

Lantheus said it worked with its financial advisers to conduct a comprehensive evaluation of its strategic options, including outreach to multiple third parties, before agreeing to the Curium deal.

Analysts at William Blair said the Curium deal represents an excellent outcome for Lantheus shareholders, and that a rival bid for the company isn't likely as only a small number of companies possess the technical know-how to absorb a radiodiagnostic company.

The analysts said that of the potential $12 a share from the contingent value rights, they view $5 as likely and $5 as unlikely, with the remaining $2 a coin flip.

CapVest, which established Curium in 2017 through the merger of IBA Molecular and Mallinckrodt Nuclear Imaging, remains its controlling shareholder after a recapitalization transaction last year that valued Curium at about $7 billion.

CapVest has $20 billion in assets under management, with healthcare representing roughly half of its investment portfolio. The firm earlier this year completed the acquisition of a majority stake in Germany's Stada that valued the pharmaceutical company at around $11.5 billion.
