GameStop swaps USD 1.4 billion convertible notes for Class A shares
Reuters2026/08/03 10:00- GameStop agreed to privately exchange about $1.4 billion of 0.00% Convertible Senior Notes due 2030 and 2032 for Class A shares.
- The exchange retires debt without cash, cutting long-term debt by about $1.4 billion; $1.1 billion of 2030 Notes remain, $1.7 billion of 2032 Notes remain.
- Closing is expected around Sept. 23, 2026, subject to customary conditions.
- Shares issued will be based partly on the stock’s 35-day VWAP starting Aug. 3, 2026, subject to a per-share price floor.
